Agency Sales Challenge Terms and Conditions

These Terms & Conditions (“Terms”) govern participation in the Merchynt Agency Sales Challenge (“Competition”) operated by Merchynt LLC (“Merchynt,” “we,” “us,” or “our”). By participating in the Competition, you (“Participant,” “Agency,” or “you”) agree to be bound by these Terms.

This Competition is void where prohibited by law and is governed by the laws of the State of California and applicable United States federal law.

1. Eligibility

  1. Participants must:
    • Be a marketing agency or business entity.
    • Have an active Sam account (any tier qualifies, including the free tier).
    • Have a connected and active Paige account with Sam integration enabled.
    • Be legally able to receive payments in the United States.
    • Comply with all applicable laws, including tax reporting requirements.
  2. Employees, contractors, or direct family members of Merchynt LLC are not eligible to participate.
  3. Merchynt reserves the right to disqualify any participant found to be abusing, manipulating, or attempting to circumvent the intent of the Competition.

2. Competition Requirements

For a sale to count toward the Competition:

  1. The lead must:
    • Originate from Sam.
    • Be assigned to a sales representative in your account through Sam.
    • Be marked as “Sold” inside Sam.
    • Be successfully onboarded into Paige.
    • Be confirmed as Active in the connected Paige account by Sam/Paige.
    • Still be Active as of March 1, 2026.
  2. Sam integration with Paige must be enabled and operational throughout the Competition.
  3. Leads that are sold but canceled, refunded, deactivated, or otherwise inactive by the end of March 1, 2026 will not count.
  4. Each Participant must register the number of active sales representatives participating in the Competition before February 1, 2026.
    • This number is locked for the duration of the Competition.
    • Any attempt to alter or misrepresent this number will result in disqualification.

3. Scoring Method

Winners are determined based on:

Average Sales per Rep = Total Qualified Sales ÷ Number of Registered Active Sales Reps

Rankings are based solely on this average, not total volume.

4. Prize Structure

Placement Prize

1st Place: $7,500
2nd Place: $2,500
3rd Place: $500

Minimum sales required to qualify:

  • 1st place: 8 clients
  • 2nd place: 5 clients
  • 3rd place: 3 clients

If minimum thresholds are not met:

  • The Participant receives the prize tied to the highest tier they qualify for.
  • Example: If the top agency only sells 6 clients, the highest prize awarded will be $2,500

In the event of a tie, the tied Participants will split the prize evenly.

5. Prize Payment Options

Winners may choose:

  1. Cash payment (taxable; W-9 required), or
  2. Paige account credit/discount (non-transferable, non-refundable).

All cash prizes are subject to IRS reporting. Merchynt will issue appropriate tax forms.

6. Agency Referral Bonus

  1. If a Participant refers a new agency to Paige and:
    • That agency places in the top 3, the referring Participant receives:
      • $1,500 bonus, plus
      • 20% of that agency’s Paige spend.
  2. If the referred agency does not place:
    • The referrer still earns 20% of their Paige spend.
  3. All referral payments are governed by the Merchynt Affiliate Program Terms:

Affiliate rules supersede any conflicting interpretation in this Competition.

7. Lead Distribution Disclaimer

Sam distributes leads randomly according to system logic and participant preferences.
Not all leads are guaranteed to be high quality or accurate. Data inaccuracies may occur.
This Competition rewards execution and conversion performance, not lead perfection.

Merchynt makes no guarantees on:

  • Lead volume
  • Lead quality
  • Conversion potential
  • Sam being bug or error free

8. Fraud, Abuse, and Disqualification

Any of the following will result in immediate disqualification:

  • Artificially inflating sales numbers
  • Creating fake clients or accounts
  • Manipulating Paige activations
  • Changing rep counts after registration
  • Circumventing Sam or Paige systems
  • Violating affiliate terms
  • Any activity Merchynt determines to be unethical or abusive

Merchynt’s determination is final.

9. Taxes

All monetary prizes are taxable.
Participants receiving cash prizes must complete:

  • IRS Form W-9
    Merchynt will issue Form 1099-NEC where required by law.

10. Limitation of Liability

Merchynt is not responsible for:

  • Technical failures
  • API disruptions
  • Data syncing delays
  • Platform outages
  • Incorrect lead information
  • Disqualification due to third-party issues

Participation is at your own risk. Usage of Paige and Sam are both governed by their own respective T&Cs.

11. Modification or Cancellation

Merchynt reserves the right to:

  • Modify these Terms
  • Pause or cancel the Competition
  • Adjust prize structures if required by law or system integrity or participation levels

Notice will be provided if material changes occur.

12. Governing Law & Jurisdiction

These Terms are governed by:

  • The laws of the State of California
  • The laws of the United States

All disputes must be brought exclusively in:

  • Los Angeles County, California.

13. Acceptance

By participating in the Competition, you acknowledge that:

  • You have read and understood these Terms.
  • You agree to be legally bound by them.
  • Merchynt’s records and determinations are final.
